Case Overview:

BCC Union LLC began its commercial operations in the Russian market in 2023 and did not yet have an in-house attorney. Legal support at the initial stage was provided remotely by the company’s legal department in Belarus. To verify the compliance of the contracts used in commercial activities, to promptly prepare and revise a number of documents, and to conduct legal analysis of commercial real estate documentation, the client required highly professional legal services under Russian law.

Scope of Services

ALPERIYA PARTNERS, under a subscription-based legal services agreement, conducted an audit of all cement supply contracts concluded with Russian buyers since the company began operating in Russia, analyzed documentation related to the potential acquisition of industrial land plots, revised and coordinated several important contracts, drafted a number of the client’s internal regulations, and prepared the necessary urgent legal opinions on matters of Russian labor law.

Significance and Results for the Client

As a result of the legal audit of the entire set of contractual documentation, the standard contract templates used by the client in its commercial operations were amended to eliminate potential commercial risks as effectively as possible. Additionally, internal regulations were developed to help the client optimize expenses recognized by accounting for tax purposes. Timely legal opinions on various issues of Russian law allowed the client to establish more efficient operations, avoid potential issues with regulatory authorities, and concentrate more fully on ongoing business processes – ultimately achieving high revenue for 2023 and a profit, with no litigation involving counterparties.
